Thank you for using Hushee, a product of RIVEROLL LIMITED, a company incorporated in Hong Kong (Company No. 3018164) ("RIVEROLL", "we", "us" or "our").
These Terms of Service ("Terms") are entered into by RIVEROLL and the entity or person agreeing to these Terms ("you") and apply when you use the services provided by Hushee ("the Services"). Hushee is an AI-powered companion application that lets you chat with fictional AI characters, take part in interactive text stories, receive AI-generated pictures and voice read-aloud, and create, publish and comment on characters. By accessing the Services, you agree to abide by these Terms and to comply with all applicable laws and regulations. Please read these Terms carefully. For how RIVEROLL handles your personal data, please refer to our Privacy Policy.
These Terms may be amended, updated and presented again to you from time to time. Your continued access to the Services constitutes your acceptance of the amended or updated terms. If you do not agree to these Terms, its amendments or its updates, please stop using the Services.
You confirm that you are at least 18 years old to access the Services provided by Hushee. You must also meet the age of majority and other eligibility requirements applicable in your jurisdiction. If you use Hushee on behalf of another person or entity, you must have the authority to accept these Terms on their behalf. You agree to provide accurate and complete information to register your account or to access the Services. Hushee starts with a guest account without a password, and you may choose to sign in with Apple or Google to link your account to that service. You are responsible for protecting your device, your Apple or Google account and your access credentials. If you sign in with an Apple or Google account that is already linked to another Hushee account, the App switches to that account, and the data of your current guest account stays with that guest account. A guest account that is not signed in with Apple or Google cannot be recovered on another device; losing the device or its stored credentials may make your chat history, Sparks and membership benefits inaccessible. An account ID alone is not proof of ownership.
Many features of Hushee are available free of charge subject to per-user, per-mode and service-wide usage limits. Some features require Sparks or a membership (an auto-renewing subscription), as described in Section 6. Limits do not guarantee continuous availability, and the App will indicate when a request cannot be completed.
You may input text prompts, images and other material while using the Services ("Input"), and receive output such as text responses, story passages, pictures and audio returned by the Services based on the Input ("Output"). Input and Output are collectively referred to as "Content". As between the parties and to the extent permitted by applicable law and regulation, you own all the Content and are solely responsible for the Content.
You grant RIVEROLL a non-exclusive, worldwide, royalty-free license to host, process, transmit and adapt your Content as necessary to provide and maintain the Services, generate responses, enforce safety rules and comply with law. This includes processing by service providers described in our Privacy Policy. It does not authorize publication of private conversations for advertising. Pre-existing character artwork and other service materials remain the property of their respective rights holders.
You acknowledge that the AI characters available in Hushee are fictional and are not real people. All conversations and responses generated by the Services are produced by artificial intelligence and do not reflect the views, opinions, or advice of RIVEROLL. Due to the nature of machine learning and artificial intelligence, the Services may provide incorrect, offensive, or otherwise unsuitable Output. No guarantees are made with respect to Content quality and reliability. You are responsible for evaluating the appropriateness of Output for your specific use case. Output should not be relied upon as professional advice of any kind, including but not limited to medical, mental health, legal, or financial advice.
Hushee does not publish your conversations as public posts. Use of your private conversations in advertising would require separate permission; accepting these Terms is not such permission.
Hushee lets you create characters and set them to private or public, post comments (including images), like content, follow creators and maintain a public profile ("Public Content"). Public characters become visible to other users only after they pass our review, and edits to a public character are reviewed again. By making Public Content available, you grant RIVEROLL a non-exclusive, worldwide, royalty-free license to host, display, reproduce, distribute and adapt it within the Services, including showing it to other users and letting them chat with your public characters, for as long as it remains public. Other users may view and interact with your Public Content. You can make a character private, delete a character or delete your comments in the App.
Public Content must comply with Sections 3 and 4. We may review, refuse, hide, remove or restrict any Public Content, and limit or suspend accounts, if we believe it violates these Terms or applicable law or could harm our users or others. You can report characters, replies, comments and users, and block characters and users, in the App. Reports are reviewed by our moderation team, and we may act on a report without notifying the reporter of the outcome.
When using the Services, you agree that you will not:
Your knowing violation of these Terms, applicable laws or regulations, or any suspected violation thereof, may result in the suspension or termination of the Services, and RIVEROLL may take further action as deemed appropriate, including but not limited to blocking your account or IP or reporting to the relevant authorities. You may request deletion of your account in the App or contact Support. Certain safety, usage and legal records may be retained as described in our Privacy Policy.
You agree that when using the Services or sharing Content, you will not:
You acknowledge and represent that any Content you generate or share will not infringe upon or violate the rights of any person and such Content is complied with these Terms and any applicable laws and regulations.
Hushee does not display third-party advertising in the App. We use advertising attribution and measurement services, including Adjust, Meta and Google's on-device conversion measurement, to measure the effectiveness of our own marketing campaigns as described in our Privacy Policy; these services do not display advertisements in the App. We may apply rate limits, moderation and service-wide capacity limits to protect the Services. Do not bypass these limits or create accounts to evade restrictions. You can report inappropriate characters or content in the App or contact Support.
Hushee offers optional in-app purchases of Sparks and auto-renewing memberships. All purchases are made through Apple's App Store and are subject to Apple's terms and payment processing. Prices are shown in the App Store purchase sheet in your local currency and may include applicable taxes; prices and offers may change, and changes do not affect purchases already completed. We do not receive or store your payment card details.
Sparks are a virtual item used only within Hushee to access certain features, such as sending messages to characters, generating pictures and other paid features. Sparks are a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use features of the Services; they are not money, have no cash value, cannot be redeemed, exchanged or refunded for cash or any other value, and cannot be transferred between accounts or users, except where required by applicable law. Sparks you purchase do not expire while your account remains active. Membership Sparks are granted for each allowance period shown in the App (monthly, for both monthly and yearly memberships) and expire at the end of that allowance period if unused. The amount of Sparks a feature costs is shown in the App and may change.
Hushee offers auto-renewing memberships at different tiers with monthly or yearly billing periods. The tier, price, billing period and included benefits, such as a Sparks allowance for each allowance period and other feature benefits, are shown in the App before you purchase a membership. Payment is charged to your Apple ID account when you confirm the purchase. A membership automatically renews for the same billing period unless it is canceled at least 24 hours before the end of the current period, and your Apple ID account will be charged for renewal within 24 hours before the end of the current period. You can manage or cancel your membership in your Apple ID subscription settings. If you cancel, your membership remains active until the end of the current billing period, and no refund is provided for the unused portion except as provided by Apple or required by law. Deleting the App or your Hushee account does not cancel a membership. A membership belongs to one Hushee account at a time.
Purchases are processed and refunded by Apple. To request a refund, please follow Apple's refund process (for example, through reportaproblem.apple.com or the purchase history in your Apple ID settings). By making an in-app purchase, you consent to us providing Apple, upon its request in connection with a refund request, with information about that purchase and your account, such as account age and status, delivery and consumption status, ranges of lifetime purchase and refund amounts, and our preference regarding the request. If a purchase is refunded or reversed, we may deduct the corresponding Sparks from your balance, including from purchased Sparks if the membership allowance has already been used, and end the related membership benefits.
We may grant Sparks or other benefits free of charge, for example through daily check-in, invitation codes, tasks, first-purchase bonuses or promotions. Free rewards are subject to the eligibility rules shown in the App, may be limited to one per person or device, and may be modified, suspended or discontinued at any time. We may withhold or remove free rewards obtained through abuse, error or violation of these Terms.
If your account is suspended or terminated because you violated these Terms, you will lose access to your Sparks balance and membership benefits without refund, except where required by applicable law. When the deletion of your account is completed, any remaining Sparks and membership benefits of that account are permanently forfeited and cannot be restored. Account deletion does not cancel your membership; you must cancel it in your Apple ID subscription settings.
NEITHER RIVEROLL NOR ANY AFFILIATES OR LICENSORS OF RIVEROLL WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE OR DATA OR OTHER LOSSES, EVEN IF RIVEROLL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RIVEROLL'S AGGREGATE LIABILITY UNDER THIS TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR FIFTY US DOLLARS (USD 50). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
YOUR USE OF SERVICE IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS IS" EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW. RIVEROLL AND ITS AFFILIATES MAKE NO WARRANTIES, NO MATTER EXPRESSED OR IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. RIVEROLL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.
You agree that, to the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless RIVEROLL, its affiliates, its past, present and future employees, contractors, consultants, external advisors, agents, representatives, predecessors, successors (the "Indemnified Parties") from any claims, losses and expenses (including attorneys' fees) arising from or relating to your use of the Services, including your Content, your breach of these Terms, or violation of applicable law.
THE FOLLOWING SECTION INCLUDES MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAIVER PROVISION. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, PLEASE READ IT CAREFULLY.
These Terms and your use of the Services shall be governed by and constructed in accordance with the laws of the Hong Kong Special Administrative Region without giving effect to any choice or conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods should not apply to these Terms.
All disputes arising out of, or in connection to these Terms or any aspect of the relationship between you and RIVEROLL and its affiliates ("Disputes"), will be resolved by binding arbitration rather than in a court by a judge or jury. You and RIVEROLL agree that both parties will first try to negotiate and settle the Disputes in good faith in 30 days after the Disputes arise. If the parties fail to settle after 30 days, the Disputes shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The arbitral tribunal will consist of one sole arbitrator and both parties will mutually select one arbitrator. The arbitration will be held in English. The arbitral award will be final and binding on the parties.
To the maximum extent permitted by applicable law, Disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding.
We may, in our sole discretion and without liability to you, with or without prior notice and at any time, modify or discontinue, temporarily or permanently, any portion of the Services.
You may stop accessing the Services at any time for any reason. RIVEROLL may terminate your access to the Services at any time without prior notice if RIVEROLL determines:
If RIVEROLL terminates your account, we will make reasonable efforts to notify you in advance so you can export your Content or your data from the Services, unless your account is terminated as a result from your breach to section 4, or we reasonably believe that continued access to your account will cause damage to RIVEROLL, our users, or anyone else, or we are legally prohibited from doing so.
The termination and cease of use of the Services do not exempt you from the liability of breaching these Terms or conducting any fraudulent, abusive or illegal activity.
You may request deletion of your account in the App or contact Support. Remaining Sparks and membership benefits are forfeited as described in Section 6.6, and certain safety, usage, purchase and legal records may be retained as described in our Privacy Policy.
If you believe RIVEROLL has suspended or terminated your account in error, you can file an appeal with us by contacting our Support team.
You may not use RIVEROLL's or any of its affiliates' names, logo, or trademark without prior written consent from RIVEROLL.
If any part of these Terms is invalid, illegal, unenforceable or void in accordance with any applicable law, the rest of the Terms shall remain in effect.
RIVEROLL may amend these Terms from time to time by updating the revised version or by sending email to you. Your continued use of the Services after any change to the Terms constitutes your agreement to such changes.
All notices shall be in writing.
(1) RIVEROLL may issue notice to you by: (i) sending you In-app notice, or (ii) sending you email using the email address you provided. Notice RIVEROLL sent to you will be deemed given on: (i) the date of posting the In-app notice if notice is sent via In-app notice, (ii) the date of receipt if delivered by email, or (iii) on the date sent via courier if delivered by post.
(2) You may give notice to RIVEROLL by: (i) sending email to [email protected], or (ii) personal delivery, overnight courier or registered or certified mail to Room 2914C, 29/F, Ho King Commercial Centre, 2-16 Fa Yuen Street, Mong Kok, Kowloon, Hong Kong.
You acknowledge that your violation of these Terms may cause irreparable harm to RIVEROLL and its affiliates, and RIVEROLL shall have the right to seek injunctive relief against You in addition to any other legal remedies.
